End User License Agreement

Agreement and licensor

This End User License Agreement (“Agreement”) is between you, or the organisation you represent, and UAB “EMCSOFT” (company code 305705679), Žirmūnų g. 57-50, LT-09110 Vilnius, Lithuania (“EMCsoft”). It applies to the Data&Migration Managment application (“Application”) and related updates supplied by EMCsoft. By installing or using the Application, you accept this Agreement. If you act for an organisation, you confirm that you are authorised to accept it on that organisation’s behalf.

License and ownership

EMCsoft grants you a limited, non-exclusive, non-transferable license to use the Application with a Bitrix24 portal you administer, for your organisation’s internal business purposes while this Agreement is in effect. EMCsoft retains ownership of the Application, its code, design and associated intellectual property. Your organisation retains ownership of its uploaded files and business data; this Agreement does not transfer those rights to EMCsoft.

Service and access

The Application imports CSV and XLSX files into a separate workspace, helps map and search records, and can create selected CRM items only after an authorised user reviews and confirms the operation. It uses Bitrix24 REST permissions for CRM access and a limited employee list. An administrator must install and use the current version. Your Bitrix24 plan, CRM configuration and user permissions must support the entity types and actions you choose. The Application does not create new smart-process types or custom CRM fields.

The service depends on Bitrix24, network connectivity and EMCsoft’s hosting and billing services. Features may be temporarily unavailable during maintenance, provider incidents or changes to external APIs. We may issue updates needed for security and compatibility.

Credits and billing

File upload, analysis and field mapping are free. Executing an import consumes 10 credits per data row; headers and empty rows are excluded, while rows later skipped by import rules still count. The app displays the row count, credit cost and available balance before execution. The published conversion is 1 USD = 1,000 credits. New installations receive 10,000 welcome credits for testing under the current product terms. Additional credits can be obtained through EMC Billing.

The same paid import can be retried without a second charge. Uploading the same file as a new import is a new operation and may be charged again. Failed processing or an internal rollback does not automatically refund credits. Contact support if you believe a charge is incorrect. Applicable payment, tax and refund terms shown by the billing service at checkout also apply.

Your data and responsibilities

You decide which files, personal data and CRM values to upload or create. You are responsible for having the rights and legal basis to process that information, checking mappings and previewed values before confirmation, maintaining appropriate backups, and controlling who can access your portal and the Application. The Application’s own workspace is separate from Bitrix24 CRM; deleting or changing one does not automatically reverse changes in the other.

EMCsoft processes information to deliver the service as described in the Privacy Policy. Optional AI assistance may involve an external provider when enabled; its data flow is described there.

Permitted use and restrictions

You may not copy, resell, sublicense or distribute the Application, interfere with its security or operation, use it to violate law or third-party rights, or attempt to reverse engineer it except where applicable law expressly permits. Do not upload data that your organisation is not entitled to process or use the Application to send unlawful content to Bitrix24.

We provide the Application with reasonable care. To the extent permitted by applicable law, we do not promise uninterrupted service or that every source file will map perfectly to a CRM field. You must review results before confirming a CRM operation. Nothing in this Agreement excludes liability that cannot legally be excluded.

Term and termination

This Agreement starts when you first install or use the Application and continues until it is terminated. You may stop using it and uninstall it from Bitrix24 at any time. EMCsoft may suspend access where reasonably necessary to address misuse, security threats, non-payment or a material breach, and may terminate this Agreement for an uncured material breach, subject to applicable law.

On uninstall, the Application deletes the portal’s active workspace records, uploaded objects and stored authorisation after receiving a valid Bitrix24 uninstall event. CRM records already created in Bitrix24 remain there. Billing or support records may be retained where legally required. Sections concerning ownership, accrued payment obligations, liability and governing law continue where their nature requires it.

This Agreement is governed by the laws of the Republic of Lithuania, without limiting mandatory consumer or data protection rights that apply to you. We may update this Agreement for future use of the Application. The current version and effective date will be published here; material changes will be communicated where required by law.
